ARK RECODE CONTEST RULES

1. INTRODUCTION

1.1. The Ark Recode Contest (the "Contest") is organized by Nutaku Entertainment Ltd, having its corporate address located at 195-197 Old Limassol Nicosia Road, Block 1, Dali Industrial Zone, 2540, Nicosia, Cyprus (the "Organizer"), who is solely responsible for the organization and administration of the Contest.

1.2. By entering this Contest, you agree to these contest rules, which set out the terms and conditions for this Contest (the “Contest Rules”). Participants are advised to read the Contest Rules carefully before entering.

2. ELIGIBILITY OF PARTICIPATION

2.1. The Contest is open to players of the game Ark Recode (the “Game”) who meet the eligibility criteria and comply with the Contest Rules. The Game is available at www.nutaku.net.

2.2. The Contest is open to Participants (as defined below) globally, except in jurisdictions where participation to the Contest, or access to the Game is for any reason prohibited by any local applicable laws or regulations. Participants are obliged to ensure compliance with local laws.

2.3. Participants can be anyone who (i) has reached the age of eighteen (18) years old as of the date of entry, and the age of majority in their respective state or country on the date of entry and is legally able to participate and; (2) has an active Nutaku account (the “Participant(s)”). The Organizer reserves the right to request proof of eligibility from any Participant, including but not limited to, proof of age and identity.

2.4. Participation is void where prohibited. The Organizer reserves the right to disqualify any entry from jurisdictions where the Contest is prohibited.

2.5. No purchase or payment of any money is necessary to enter or win the contest. Making a purchase does not increase your chances of winning.

2.6. Each Participant is entitled to one entry for the Contest, which shall be linked to the email associated with the Participant’s Nutaku account. The creation or use of multiple accounts is strictly prohibited, both for participation in the Contest and in accordance with the Nutaku Terms of Use. In the event that Nutaku suspects a Participant is using multiple accounts to enter the Contest, Nutaku reserves the right to disqualify the Participant and take appropriate action, including but not limited to the termination of the associated accounts in accordance with its Terms of Use.

2.7. Employees, agents, directors, and their immediate families (spouse, parents, children, siblings, and each of their spouses regardless of where they live) or members of households of the Organizer and its parent company, subsidiaries, affiliates, or advertising, design, print production and publicity agencies and anyone connected with the production and distribution of the Contest, are not eligible to enter the Contest or be awarded a prize.

3. CONTEST PERIOD

3.1. The Contest shall commence on April 8, 2025, at 00:00 UTC and shall end on April 15, 2025, at 23:59 UTC (the "Contest Period").

3.2. Any Participant who has a valid and active Nutaku account as per Nutaku Terms of Use, shall be eligible to participate in the Contest, as per section 5.2 of these Contest Rules herein below.

4. PRIZE

4.1. The prize consists of $1,000 worth of Nutaku Gold, which is equivalent to 100,000 Nutaku Gold (the “Prize”). The Prize is non-transferable, non-exchangeable, and cannot be redeemed, converted or exchanged for fiat currency or any other currency or alternative form of value such as cash or voucher.

4.2. The Prize shall be credited to the winner’s Nutaku account immediately and no later than three (3) calendar days from the End Date.

4.3. The Prize shall remain available to be used for a period of 365 days. For the avoidance of doubt, in relation to the Prize, the Terms of Use shall also apply.

5. CONTEST CONDITIONS

5.1. All eligibility criteria for participation set forth in Section 2 of these Contest Rules are met.

5.2. Participant must play a game for at least fifteen (15) minutes in order to be entered into the Contest, provided that such play time was within the Contest Period as defined in section 3 of these Contest Rules.

6. WINNER SELECTION AND NOTIFICATION

6.1. Subject to the successful compliance with all terms and conditions set forth herein, all eligible Participants will be grouped together, and the winner of the Contest will be selected randomly by the Organizer.

6.2. The winner will be notified directly via the email associated with their game account.

6.3. The prize will be credited directly to the winner’s game account as per section 3.2 of these Contest Rules without requiring additional confirmation.

6.4. The Organizer’s decisions shall be final and binding. No prize substitutions are allowed, except in cases of force majeure or unavailability of the Prize.

7. DISQUALIFICATION

7.1. The Organizer reserves the right to disqualify any participant who:

1. (i) To the absolute discretion of the Organizer, uses fraudulent methods to participate including but not limited to creating multiple accounts, cheating, or exploiting bugs within the Game;
2. (ii) Violates the Organizer’s Terms of Use or Contest Rules;
3. (iii) Engages in any conduct that the Organizer, in its sole discretion, deems unfair or inappropriate.

8. RELEASE AND INDEMNIFICATION

8.1. BY PARTICIPATING IN THIS CONTEST, PARTICIPANT FOREVER AND IRREVOCABLY AGREES TO DEFEND, INDEMNIFY, RELEASE AND HOLD HARMLESS THE CONTEST ENTITIES, ORGANIZER, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AGENTS, REPRESENTATIVES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, “RELEASEES”) FROM AND AGAINST ANY AND ALL LIABILITIES, CLAIMS, CAUSES OF ACTION, DAMAGES, LOSSES, COSTS, EXPENSES, RIGHTS, DEMANDS, LAWSUITS, PENALTIES, PROCEEDINGS, JUDGMENTS, AND ACTIONS, WHETHER IN LAW OR EQUITY, ARISING DIRECTLY OR INDIRECTLY FROM PARTICIPATION IN THE CONTEST OR RECEIPT, USE OR MISUSE OF ANY PRIZE AWARDED IN CONNECTION WITH THE CONTEST, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, DEATH, PROPERTY DAMAGE, OR CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, OR INVASION OF PRIVACY.

9. GENERAL RULES, CONDITIONS AND RELEASES

9.1. The Organizer’s Terms of Use shall apply in conjunction with these Contest Rules. Any non-compliance or violation with the Terms of Use or the Contest Rules or with any provision of these Contest Rules may result in disqualification.

9.2. Participation in the Contest is at the Participant’s own risk.

9.3. The Organizer shall not be held responsible for any damage or loss the Participant may suffer due to participation in the Contest or by playing the Game, including but not limited to, any loss or damage to equipment, data, or software due to any virus, bugs, technical issues, server failures, connectivity issues, or other malfunctions, as well as any loss of in-game items or progress resulting from such issues.

9.4. By participating in this Contest, each Participant agrees to abide by these Contest Rules and the Organizer’s Terms of Use.

9.5. The Organizer reserves the right to modify these Contest Rules or cancel the Contest at any time.

9.6. Upon receipt of the Prize, the applicable winner agrees to release and hold Organizer, the Contest Entities and their respective successors, assigns, shareholders, partners, subsidiaries, affiliated entities, employees, directors, officers, agents, or representatives harmless. Each Participant further agrees that in the event of any third-party claims, damages, losses or injuries, arising from or relating to this Contest, Participant will defend, indemnify and hold harmless the Releasees from any and all such claims, including the attorney’s fees related thereto.

9.7. Organizer reserves the right, in their sole discretion, to modify, cancel, or suspend this Contest for any reason, including inter alia any viruses, bugs, or other causes beyond Organizer’s control which may corrupt the administration, security, or proper play of the Contest, or for any reason that Organizer believes in good faith would be fair to the Participant and the conduct of the Contest. In the event of cancellation or suspension of the Contest, the Organizer may but shall not be obliged to notify Participant of such changes.

9.8. By participating in the Contest, Participant agrees to be bound by these Contest Rules and the decisions of Organizer, whose decisions are final and binding.

10. JURISDICTIONAL RESTRICTIONS

10.1 This Contest is intended for a worldwide audience. However, the Organizer makes no representations that the Contest is appropriate or available in all locations. It is the Participant's responsibility to comply with local laws and regulations.

11. GOVERNING LAW

11.1. This Contest shall be governed by the laws of the Republic of Cyprus, without regard to its conflict of law rules.

11.2. By participating in this Contest, the Participant irrevocably agrees that any and all disputes, claims, and causes of action arising out of or in connection with the Contest or the award of the Prize, as well as any issues and questions concerning the validity, interpretation, and enforceability of these Contest Rules, shall be subject to the exclusive jurisdiction of the courts of the Republic of Cyprus.
